Job Summary

The Legal and Contract Analyst provides operational support to the Legal department in matters involving contracts and the contract management process, corporate documents and governance, business transactions and projects, and factual and legal research. Responsibilities include work of a confidential, complex nature, and involves managing information of strategic importance. Requires judgment and insight, as well as, considerable discretion and diplomacy.

Job Specific Duties

  • Responsible for drafting, filing and managing various corporate documents for the Health System and its subsidiaries with State and other government agencies. 
  • Collaborates with, and supports, NCHS Governance Liaison on variety of matters related to NCHS Boards and corporate governance, including, but not limited to; coordinating, preparing for and attending board and committee meetings as assigned, and preparing official agendas and meeting minutes and management of action items.
  • Prepares, revises, and reviews contracts and associated statements of work and proposals in collaboration with NCHS attorneys and in accordance with Legal department approved templates; proactively prepares and recommends terms for contracts and NCHS templates to align with best practices, applicable legal requirements, feedback from internal and external stakeholders, and other relevant considerations. 
  • Collaborates with and supports Legal department Contract Administrator for contract management process; serves as back-up to Contractor Administrator as needed. 
  • For physician-related contracts, ensures Fair Market Value (FMV) information is accurately documented in the contract and aligns to System’s policies. 
  • Collaborates with Supply Chain, TM&E and other departments as needed to support legal aspects of vendor credentialing process. 
  • Works closely with business partners and attorneys to resolve a variety of day-to-day issues and supports a broad range of transactions, initiatives and/or projects.  
  • Provides support related to litigation, mediation, arbitration, and potential legal claims related to business and operational matters (not medical malpractice or general liability). 
  • Prepares, proofreads, edits, organizes and finalizes legal documents and correspondence.  
  • Performs legal due diligence and legal and factual research.  
  • Assist Attorneys in preparing for executive, board or other operational reporting and presentation (e.g., Quarterly Operating Reports, System Board Quality). 
  • Represents the Legal team in cross-functional projects and working groups/committees and ensures that Legal’s requirements and recommendations are conveyed and understood; provides support for implementation as necessary. 
  • Identifies and implements process improvements within the Legal team and with stakeholders in other departments. 
  • Provides support on various ongoing projects for and at the direction of the attorneys, ensuring deadlines / objectives are met. 


Minimum Job Requirements

  • Associate's Degree in law, legal studies, or a related field  (Required)
  • A minimum of 4 years experience in contract management or corporate paralegal services

Knowledge, Skills, and Abilities

  • Bachelor’s degree preferred
  • Prior healthcare experience preferred
  • Self-directed, organized and capable of handling multiple, complex projects, yet understand necessity of advising Legal department attorneys and Directors of work progress and any unusual situations
  • Strong analytical and problem-solving skills with great attention to detail; ability to prioritize tasks
  • Experience analyzing, reviewing, drafting and processing contracts, statements of work, and business proposals
  • Working knowledge of Federal, State and administrative court system in Florida
  • Advanced level of proficiency in Microsoft office applications including Word, PowerPoint, Excel, Visio, and other Windowsapplications.
  • Strong verbal and written communication skills
  • Flexibility and ability to effectively perform in a fast-paced environment; responsiveness to multiple requests with strong sense of urgency
  • Excellent interpersonal skills and ability to interact effectively with all tenure levels (e.g., management and staff) and across departments and business units
  • Highly dependable, professional, integrity, good judgment and respect for confidentiality.
